These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity) and Vorflux ("Company," "we," "us," or "our") concerning your access to and use of the Vorflux platform, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

We reserve the right to make changes to these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our Services, you represent and warrant that:

• You have the legal authority to bind yourself or the organization you represent
• You have not been previously suspended or removed from the Services

Vorflux provides an AI coding agent platform that automates software development tasks and includes:

• AI-powered code generation and execution
• Automated pull request creation and management
• Continuous integration with GitHub and other platforms
• Integration with third-party monitoring and communication tools
• Analytics and reporting features

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

5. Subscription and Payment

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. The specific terms of your subscription, including pricing, billing cycle, and included features, will be detailed in your subscription agreement or account dashboard.

5.2 Payment Terms

By subscribing to our Services, you agree to pay all applicable fees. You authorize us to charge your designated payment method on a recurring basis according to your billing cycle. All fees are non-refundable except as expressly stated in these Terms or required by law.

5.3 Price Changes

We reserve the right to change our pricing at any time. We will provide you with reasonable advance notice of any price changes. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the modified price.

• Violate the security of the Services or attempt to probe, scan, or test vulnerabilities
• Reverse engineer, decompile, or disassemble any portion of the Services
• Remove, alter, or obscure any proprietary notices on the Services
• Use the Services to harass, abuse, or harm others
• Impersonate any person or entity or falsely state or misrepresent your affiliation

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, are owned by Vorflux or our licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.

7.2 Your Data

You retain all rights to the data, content, and information you submit to the Services ("Your Data"). By submitting Your Data, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display Your Data solely for the purpose of providing the Services to you.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation or compensation to you.

8. Third-Party Services and Integrations

Our Services may integrate with or contain links to third-party services, applications, or websites. We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

You are responsible for reviewing and agreeing to the terms of any third-party services you choose to integrate with Vorflux. We are not liable for any damage or loss caused by third-party services.

9. Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

We implement appropriate technical and organizational measures to protect Your Data. However, you acknowledge that no security measures are perfect and that we cannot guarantee the absolute security of Your Data.

10. Service Level and Availability

While we strive to maintain high availability and reliability of the Services, we do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Emergency maintenance and repairs
• Circumstances beyond our reasonable control (force majeure events)
• Third-party service disruptions

We will make reasonable efforts to provide advance notice of scheduled maintenance. Service level commitments, if any, are specified in your subscription agreement.

11. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• The Services will meet your specific requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will be compatible with all systems or devices

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VORFLUX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Service interruptions or downtime
• Loss or corruption of data
• Cost of substitute services
• Personal injury or property damage

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vorflux, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Your Data or any content you submit through the Services

14. Termination

14.1 Termination by You

You may terminate your account and stop using the Services at any time by following the cancellation process in your account settings or by contacting us.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms or our policies
• Failure to pay applicable fees
• Fraudulent, abusive, or illegal activity
• Extended period of inactivity
• Request by law enforcement or government agencies

14.3 Effect of Termination

Upon termination:

• Your right to access and use the Services will immediately cease
• We may delete Your Data in accordance with our data retention policies
• You remain responsible for all charges incurred prior to termination
• Sections of these Terms that by their nature should survive termination will survive

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Vorflux is incorporated, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@vorflux.com. We will attempt to resolve the dispute informally within 60 days.

15.3 Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or violations of the Acceptable Use Policy.

15.4 Class Action Waiver

You agree that any arbitration or proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Vorflux regarding the Services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be replaced with a valid provision that most closely matches the intent of the original provision.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.

16.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of the Services. You represent that you are not located in, under the control of, or a national or resident of any country to which export is prohibited.

16.7 U.S. Government Rights

If you are a U.S. government entity, the Services are "commercial computer software" and "commercial computer software documentation" as such terms are used in applicable U.S. government regulations.
